We are pleased to outline our Terms & Conditions, which govern the services we provide. These Terms & Conditions, together with the Quote/Proposal/Production Estimate presented to you, form the contract between you and Orbius for the delivery of our services.
1. Scope of Services
1.1. Services Provided: Orbius will deliver the services as described in the Quote/Proposal/Production Estimate provided to you. As the project progresses, there may be instances where the scope of work changes. If this happens, we will promptly discuss any required adjustments with you and agree on any necessary revisions to the scope of the services and the Quote/Proposal/Production Estimate.
1.2. Revisions: Unless otherwise specified in the Quote/Proposal, we offer 2 rounds of revisions on all items after the presentation of the initial concept. Any further revisions beyond this will be billed according to the standard hourly rate of Orbius.
1.3. Collaboration: To ensure the highest level of effectiveness, Orbius requires close collaboration with you.
1.4. Information: The success of our work often depends on the timely provision of information from you or your other advisers. To avoid unnecessary delays, we will assume that all information provided by you is complete and accurate, unless we are informed otherwise.
1.5. Project Termination: If you decide to terminate the contract after work has commenced, you will be invoiced for the work completed up to that month.
1.6. Unforeseen Circumstances: Orbius will not be held responsible for any delays or inability to fulfill our obligations if circumstances beyond our reasonable control cause such delays or failures.
2. Reliance On Our Services
By engaging with Orbius, the client acknowledges and agrees to the following:
2.1. Orbius does not guarantee any specific outcomes, including but not limited to improvements in business performance, online leads, or search engine rankings, as a result of the services provided.
2.2. The services will be carried out using the materials and information provided by the client. If the final results differ from the client-provided materials, the outcomes may vary from what was initially expected or planned.
2.3. The client assumes all risks associated with relying on the services and any advice or information given in relation to them.
2.4. The client is responsible for their own business decisions and must independently assess the risks, advantages and suitability of any action, transactions, or ventures linked to the services and any related guidance or advice offered.
3. Payment Terms
3.1. Invoice Payments: Payments are due within 10 days of the invoice date and should be made via bank transfer to Orbius’s designated bank account unless otherwise agreed. Ownership of all work remains with Orbius until full payment is received.
3.2. Late Payments: Late payments will not be accepted by Orbius. We highly prefer on-time payments as we deliver on-time work at our end. If payment is delayed for more than 10 days, Orbius reserves the right to suspend or terminate the project until the outstanding balance is settled.
4. Project Scope
4.1. In most instances, Orbius will provide a detailed scoping document outlining the scope and functionality of the services we deliver, including, but not limited to, websites, applications, or marketing campaigns.
4.2. Once the client reviews and approves this document, any requests for changes or additions beyond the defined scope will be treated as a new update and will be quoted separately.
5. Content Responsibilities
5.1. Client-Supplied Content & Materials: The client is responsible for providing all necessary information about their business and marketing goals. Orbius is not liable for any errors in the content you provide. Any revisions resulting from errors in the supplied content may incur additional charges at our standard rates. Unless otherwise agreed, it is your responsibility to supply all necessary information and data for the project. All content should be provided in a compatible digital format unless previously discussed.
5.2. Data for Visuals: For charts, graphs and infographics, please supply the data in Excel format. If extensive content retyping is required, additional costs may apply.
5.3. Image Quality & Usage: Client-provided images should be high-resolution for print. Lower-resolution images are acceptable for web use. Orbius will assume that all images provided are either owned by you or properly licensed for your use.
5.4. Permission for Images of Children: If any images of children are included in the project, we will assume that you have obtained the necessary consent to use these images.
5.5. Use of Logos & Branding: You grant Orbius permission to use your logos and any other branding materials for the creation of the project. You agree to hold Orbius harmless from any claims arising from your failure to secure the necessary copyright permissions for the content you provide.
6. Confidentiality
6.1. Orbius prioritizes the confidentiality of your sensitive information. Except where required by law, we will not disclose any of your documents or personal matters without your consent. However, there are exceptions where disclosure may occur to the following parties:
(i) Your other service providers who are directly involved in the project and whom you have informed us about;
(ii) Our affiliated companies or related entities within the Orbius network;
(iii) Trusted third-party partners that may assist in specific aspects of the project to ensure the best possible service delivery.
7. Liability
7.1. You agree to use Orbius’s services solely for lawful purposes. By engaging with us, you hold Orbius harmless against any claims, losses, or damages arising from your use of our services that may harm you or any third party.
8. Amendments To Terms
8.1. These Terms and Conditions, including any related agreements, may be amended or replaced at any time, provided that both parties mutually agree in writing. Any such changes will not affect previously accrued rights or obligations unless explicitly stated.
